This webinar on the complex substantive change process is intended for those institutions which are contemplating a change of legal status, form of control, or ownership resulting from a merger, acquisition, consolidation, sale of an institution, or other similar transactions. Commission staff will provide information on the process of submitting a complex substantive change request, including the critical, early submission of the Complex Substantive Change Preliminary Review Form and then, later, the more fully developed Substantive Change Request Form.
Because of the complexity of these transactions, it is important to be clear about terminology, particularly in light of the many variations and possibilities for merger, consolidation, or acquisition. The type of transaction determines the documents that must be included as part of the submission. The information is provided to help you begin the process of submission and understand the Commission’s requirements for a complex substantive change.
