Mergers, Acquisitions, Change of Control, Oh My! Navigating the Complex Substantive Change Process- Presentation and Live Q&A

Whether your institution is considering a complex substantive change, defined as a change in legal status, form of control, or ownership resulting from a merger, acquisition, sale of an institution, or other similar transaction (Complex Substantive Change Procedures), or not, please join us to learn about navigating the challenges of this process. Additionally, we will discuss the Transformational Partnership Fund, which was established in April 2021 by SeaChange and the ECMC Foundation, with support from Ascendium Education Group, The Kresge Foundation, and the Michael & Susan Dell Foundation to make grants to support colleges and universities interested in exploring partnerships.  MSCHE staff will explain the requirements and expectations of the Commission, answer your questions about these complicated transactions, and offer best practices that have been learned from experience.

  • Identify the most common types of complex substantive change and the processes and challenges associated with them.
  • Review the key areas of the Complex Substantive Change Preliminary Review Form. 
  • Review the purpose and process for accessing funds from the Transformational Partnership Fund.
  • Recognize the most common issues identified during the legal and/or policy review in the Complex Substantive Change process. 
  • Identify ways that institutions can do to prepare for the submission of a Complex Substantive Change Request.
  • Review the timeline for review and action by the Commission.
