Corporate Sponsor Terms & Conditions

  1. Parties. MSCHE, as it is used in this MSCHE Corporate Sponsor Application Agreement, refers to Mid-Atlantic Region Commission on Higher Education doing business as the Middle States Commission on Higher Education. Sponsor refers to the company listed in this MSCHE Corporate Sponsor Application Agreement. Event refers to the webinar listed in this MSCHE Corporate Sponsor Application Agreement. The individual signatories to this Agreement and/or their current or future company designated representatives and/or agents, shall be the primary contacts for this Agreement, including giving/receiving formal notice as specified herein, before, during, and after the event. Any changes in designated authorized representatives or agents must be made in writing via email to [email protected].
  2. Eligibility. MSCHE invites Sponsors that provide products and services specifically designed for or customarily used in colleges and universities for administration or teaching. MSCHE reserves the right to exercise its sole discretion in granting, refusing, and continuing this Agreement.
  3. Authority to Set, Modify, and Enforce Terms & Conditions. MSCHE reserves the right to interpret these terms and conditions of sponsorship and all matters and questions not expressly addressed in these terms and conditions. Sponsor agrees that MSCHE shall have the right to make such rules and regulations or changes in arrangements as it deems necessary, and to amend the same from time to time. All amendments shall be equally binding on all parties affected by the changes. In the event of any amendments or additions to the MSCHE Corporate Sponsor terms and conditions, MSCHE shall give written notice by email to those Sponsors affected by the changes and will post any changes or amendments at the MSCHE designated web page. MSCHE shall have the final determination and sole discretion to enforce all terms and conditions. MSCHE reserves the right to terminate the Corporate Sponsor Application Agreement and sponsorship of any Sponsor for failure to meet the terms of this Agreement or for other reasonable cause, which includes but is not limited to circumstances in which the sponsor takes action inconsistent with the MSCHE Mission, Vision, and Values.
  4. Endorsement. Sponsor will make no expressed or implied endorsement by MSCHE of the product and/or service provided by the Sponsor.
  5. Promotional Activity. Sponsor-made content regarding sponsored events made for use on social media may be used with notice and consent in advance from MSCHE. Any and all social media posts made by Sponsors regarding a sponsored event must comply with the Sponsor terms and conditions. Any posts that include discriminatory remarks or any comments that could be construed as harassment, threats of violence or similar inappropriate, disparaging or unlawful statements may result in removal from event sponsorship, and/or revocation of access to sponsor benefits, and/or exclusion from all future MSCHE events.
  6. Compliance with Laws. All activities surrounding this Corporate Sponsor Application Agreement and Event must comply with: the requirements of all governmental authorities having jurisdiction; all applicable laws, ordinances, and regulations (including but not limited to permission to use any copyrighted works); and the technology requirements of the Event.
  7. General Data Protection Regulation. A Sponsor that processes personal data must do so in accordance with the General Data Protection Regulation (GDPR) and all applicable data privacy laws.
  8. Hold Harmless and Limit of Liability. Sponsor assumes the entire responsibility and liability for losses, damages, and claims arising out of the Sponsor’s activities related to this sponsorship, and will indemnify, defend, and hold harmless MSCHE, its employees, agents, officers, directors, and subsidiaries and affiliates, from any and all losses, damages, and claims arising out of the Sponsor’s activities. Sponsor agrees that MSCHE will not be responsible or liable for any loss, damages or claims arising out of the Sponsor’s activities related to this sponsorship.
  9. Scheduling and Rescheduling Events. MSCHE reserves the right, in its sole discretion, to set the date, time, and format of any Event. In addition, MSCHE reserves the right, in its sole discretion, to reschedule any Event, at any time and for any reason, without prior notice to the Sponsor. If MSCHE must reschedule an Event, MSCHE will notify the Sponsor of the new date/time and work with the Sponsor to update promotional materials.
  10. Cancellations. Cancellation of sponsorship is allowed. However, due to promotion of the Sponsor before the event, sponsorship fees are nonrefundable. Cancellation of sponsorship does not include removal of the sponsor’s name/logo from any materials already prepared, purchased, or disseminated as of the time of cancellation. A Sponsor may cancel sponsorship in writing by emailing [email protected].
  11. Termination of Event. This Corporate Sponsorship Application Agreement is subject to termination without liability due to circumstances beyond the control of MSCHE or the Sponsor – such as acts of God, war, terrorism, government regulations, disaster, or civil disorder. If MSCHE cancels the event for reasons other than those that are beyond MSCHE’s control, MSCHE may terminate this application Agreement without liability for any damages the Sponsor may have incurred.
